Terms of Service

These Terms of Service ("Terms") govern your use of Chrona products and services operated by A2 Foundry, Inc. ("A2 Foundry," "we," "us"). By creating an account or using any Chrona product, you agree to these Terms and our Privacy Policy.

1. Eligibility

You must be at least 18 years old to use Chrona.

2. Products covered

These Terms cover three Chrona products operated by A2 Foundry, Inc.:

  • Chrona Enterprise — the web application at app.chronabio.ai and the enterprise-deployed Word Add-in, used by regulatory teams at biotech companies.
  • Chrona Pro — the Word Add-in distributed via Microsoft Marketplace for individual regulatory writers.
  • CTDCommons Viewer — the public reference viewer at commons.chronabio.ai.

Where these Terms refer to "Chrona" generally, they apply to all three products. Where terms differ, the relevant product is named.

3. Your account

To access certain features, you must create an account providing your email address, display name, and organization name. You are responsible for maintaining the security of your account credentials. You may not share account access or create accounts on behalf of others without their consent.

4. Communications

We may send you product updates, feature announcements, and other communications related to Chrona. You can opt out of these communications at any time.

5. Chrona Enterprise and Chrona Pro

5.1 Chrona Enterprise. When you use Chrona Enterprise, your regulatory documents remain in your organization's own storage environment (SharePoint Online or equivalent) and are accessed via Microsoft Graph API permissions you grant. Chrona reads from your documents to provide analysis but does not take ownership, copy, or redistribute their content. Chrona Enterprise sends structured excerpts of document content to large language model (LLM) providers for analysis under a bring-your-own-key (BYOK) model — you configure your own LLM provider credentials and are responsible for ensuring your provider's data handling, retention, and privacy policies meet your organization's regulatory and compliance requirements. A2 Foundry does not control and is not responsible for how your chosen LLM provider processes data sent through your API keys.

5.2 Chrona Pro. Chrona Pro is the Word Add-in distributed through Microsoft Marketplace for individual writers. The Pro Add-in executes all checks and custom rules locally inside the Word add-in sandbox. Document content is not transmitted to A2 Foundry or to any third party as part of normal use. Subscription, billing, and payment for Chrona Pro are handled by Microsoft Marketplace pursuant to Microsoft's commercial marketplace terms. Refunds, renewals, and cancellations follow Microsoft Marketplace policy.

6. CTDCommons Viewer

The CTDCommons Viewer is a public reference viewer that provides access to regulatory documents sourced from CTD Commons. A2 Foundry does not author, verify, or guarantee the accuracy of CTD Commons content. Documents available through the viewer are public materials maintained by CTD Commons. A2 Foundry provides the viewer as a convenience and is not responsible for the completeness, accuracy, or regulatory suitability of the underlying documents.

Content accessed through the CTDCommons Viewer should not be used as the basis for regulatory submissions without independent verification by qualified professionals.

7. Acceptable use

You agree not to: reverse engineer or attempt to extract source code from Chrona; use Chrona to violate any applicable law or regulation; interfere with or disrupt the service; or misrepresent your identity or affiliation when creating an account.

8. Intellectual property

Chrona, its design, features, and underlying technology are the property of A2 Foundry, Inc. Your use of Chrona does not grant you any ownership rights in the platform. Content you provide (such as your regulatory documents) remains yours.

9. Disclaimer of warranties

Chrona is provided "as is" and "as available." A2 Foundry makes no warranties, express or implied, regarding the accuracy, reliability, or fitness for any particular purpose of the service or any analysis it produces.

Chrona does not provide regulatory, legal, scientific, or medical advice. Chrona's analyses, findings, and readiness assessments are tools to support human regulatory professionals; they do not substitute for the judgment of qualified personnel and do not establish that any submission, document, or response is compliant with FDA, EMA, or other regulatory requirements. You are solely responsible for the content and quality of any regulatory submission you make.

10. Limitation of liability

To the maximum extent permitted by law, A2 Foundry shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of Chrona. Our total liability for any claim related to the service shall not exceed the amount you paid to A2 Foundry in the twelve months preceding the claim.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and notify you via email or in-app notice. Continued use after changes constitutes acceptance of the updated Terms.

12. Termination

You may stop using Chrona and close your account at any time. We may suspend or terminate your access if you violate these Terms, with notice where practicable.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Enterprise agreements

Customers of Chrona Enterprise may execute a separate Master Services Agreement, Data Processing Agreement (DPA), and Business Associate Agreement (BAA, where applicable) with A2 Foundry. Where such agreements exist, their terms govern in case of conflict with these Terms. Contact contact@chronabio.ai for enterprise agreements.
